How Enable New Zealand is governed

Enable New Zealand Limited (Enable New Zealand) is a wholly owned Crown entity subsidiary of Te Whatu Ora – Health New Zealand (Te Whatu Ora and/or Shareholder).

It is a company registered under Part 2 of the Companies Act 1993 (Companies Act) and its Board of Directors (Board) is appointed by Te Whatu Ora.

The Board is the governing body of Enable New Zealand and has the authority, in Enable New Zealand’s name, to exercise the powers and perform the functions of Enable New Zealand.

The Board ensures compliance with the law and is the ultimate point for accountability for all aspects of Enable New Zealand’s performance.

The business and affairs of Enable New Zealand are managed by, or under the direction and supervision of, the Board, in accordance with Enable New Zealand’s constitution, the Companies Act, the Crown Entities Act 2004 and any expectations of the shareholder (Te Whatu Ora).

Te Whatu Ora, as the parent entity, is accountable for the activities and performance of Enable New Zealand as its subsidiary, and monitors and reports on its activities to the responsible Minister, House of Representatives and the public.
